1. Acceptance of Terms
By downloading, installing, accessing, or using Go.Bright.Blue (the "App"), you agree to be bound by these General Terms and Conditions ("Terms"). These Terms form a legally binding agreement between you and Go.Bright.Blue ("we," "us," or "our"). If you do not agree to these Terms, you must not use the App. Your continued use of the App signifies your acceptance of these Terms and any updates thereto.
2. Eligibility
To use the App, you must:

Be at least 13 years of age. If you are under the age of 18 (or the age of majority in your state, province, or country of residence, if higher), you represent that you have obtained the consent of a parent or legal guardian to use the App and agree to these Terms.

Have the legal capacity to enter into these Terms or have a parent or legal guardian agree on your behalf.

Not be prohibited from using the App under applicable laws or regulations (e.g., sanctions, export controls).
By downloading, installing, or using the App, you confirm that you meet these eligibility requirements. For e-commerce transactions processed through Shopify, additional eligibility may apply under Shopify’s Terms of Service (https://www.shopify.com/legal/terms). Parents or legal guardians allowing minor dependents to use the App are responsible for their actions, including any purchases made via authenticated accounts.
3. License
3.1 License to Use the App
Subject to your compliance with these Terms, Go.Bright.Blue grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible device for your personal, non-commercial use. This license does not allow you to:

Modify, copy, distribute, or create derivative works of the App.

Reverse-engineer, decompile, or disassemble the App.

Use the App for commercial purposes without our express written consent.
3.2 Fees and Payment
The App is provided to you free of charge. There are no fees or hidden costs required to use the App’s core functionality. Any future changes introducing optional paid features will be clearly communicated in an updated version of these Terms.
4. Accounts Set-Up
4.1 Registration
To use the App, you agree to the following:

You agree to provide true, accurate, current, and complete information when establishing an account (“Registration Information”).

You agree to provide a valid mobile phone number that you have access to. We use your mobile number to send SMS messages for account authentication and verification, such as delivering one-time passcodes to securely confirm your identity during account setup or login. When you provide your mobile number, we will request your permission through an in-app prompt, and by agreeing, you explicitly consent to receive these SMS messages for account verification purposes.

You agree to maintain and promptly update the Registration Information to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account.

You agree not to share your account or authentication details with others.

We will not use your number for marketing or promotional purposes unless you separately opt-in to such communications, as detailed in our Privacy Policy. You may update or remove your mobile number at any time through your online account dashboard, though this may limit your ability to use features requiring SMS verification. For more information on how we collect, use, and protect your phone number, please see our Privacy Policy.

Your account may be used to access e-commerce features powered by Shopify, and you are responsible for all transactions initiated through your authenticated account, subject to Shopify’s Terms of Service (available at https://www.shopify.com/legal/terms).
4.2 Security
You are responsible for:

Maintaining the confidentiality of your account credentials.

All activities under your account, whether authorized by you or not.

Promptly notifying us of any unauthorized use or suspected security breach.
4.3 Suspension and Termination
We may suspend or terminate your account at our sole discretion if:

You violate these Terms or applicable laws.

We suspect fraudulent, abusive, or unlawful activity.

Your account is inactive for an extended period, as determined by us.
5. E-Commerce Transactions Powered by Shopify
5.1 Shopify as E-Commerce Provider
All purchases of products or services through the App are processed and managed by Shopify, our third-party e-commerce provider. This includes product listings, pricing, payment processing, order fulfillment, and shipping. These transactions are governed by Shopify’s Terms of Service (available at https://www.shopify.com/legal/terms), which you agree to abide by when making a purchase through the App. While Shopify’s terms are not directly visible within the App, they apply to all e-commerce activities facilitated on our behalf.
5.2 Vendor Responsibility
Products and services are offered by Go.Bright.Blue or third-party merchants (‘Vendors’) via Shopify. Vendors are responsible for product descriptions, availability, quality, and fulfillment. For issues with products or orders, contact us or the Vendor as specified in your order confirmation.
5.3 Pricing and Payments
Prices are set by Vendors and processed by Shopify in the currency of the country you are in, unless otherwise stated, excluding shipping fees, which are disclosed at checkout. You agree to pay the total amount displayed by Shopify at the time of purchase.
5.4 Shipping, Returns, and Refunds
Shipping, delivery, returns, and refunds are managed by third-party vendors, and/or resellers, via Shopify’s systems, subject to their policies and applicable laws. Contact the Vendor or us for support. Refunds, when approved by the Vendor, are processed by Shopify to your original payment method.
5.5 Order Limitations
We or Shopify reserve the right to reject any order or limit quantities at our sole discretion (e.g., due to stock availability, suspected fraud, or resale intent), without obligation to provide a reason. If an order is rejected, we will attempt to notify you via the email provided during account registration. Reselling—defined as purchasing products with intent to commercially sell them to a third party—is prohibited unless expressly authorized by us.
5.6 Consumer Rights
Nothing in these Terms affects your statutory consumer rights under applicable laws in your jurisdiction, including rights to refunds, repairs, or replacements for faulty goods purchased through the App. For e-commerce transactions:

UK Users: You have a 14-day cancellation right from delivery and additional rights under the Consumer Rights Act 2015 (see www.legislation.gov.uk).

EU Users: You have a 14-day cancellation right and rights under the Consumer Rights Directive (see eur-lex.europa.eu).

US Users: Rights vary by state (e.g., California’s CCPA); contact your state consumer agency. For details, refer to Shopify’s Terms of Service.
6. User Responsibilities
6.1 Compliance with Laws
You agree to use the App in compliance with all applicable local, state, national, and international laws, including intellectual property, privacy, and anti-harassment laws.
6.2 Prohibited Conduct
You shall not:

Use the App for unlawful, fraudulent, or malicious purposes.

Infringe upon the intellectual property rights of Go.Bright.Blue or third parties.

Harass, abuse, threaten, or harm other users or third parties.

Interfere with or disrupt the App, its servers, or networks.

Attempt to gain unauthorized access to the App, its systems, or user accounts.

Upload or transmit viruses, malware, or harmful code.
-
Engage in activities that could damage our reputation or goodwill.

Use the App as a means to distribute advertising or other unsolicited materials.
Violations to any of the above, may result in civil or criminal liability. We will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.
6.3 User Content
If you add, create, or submit events to the calendar within the App ("User Content"), you:

Grant Go.Bright.Blue a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, distribute, and display such User Content in connection with the App and our business operations, such as syncing events across your devices, improving our calendar features, or analyzing usage trends to enhance the App.

Represent and warrant that you have the necessary rights to grant this license and that your User Content complies with these Terms (including Section 6.2 - Prohibited Conduct) and all applicable laws.
Content Monitoring and Enforcement: We aim to ensure the App’s calendar feature is used appropriately and enhances your experience. To this end:

Monitoring: We do not proactively review User Content—specifically calendar events—unless we receive a report or detect an issue requiring investigation. Calendar events are private to your account and visible only to you and a designated personal trainer, if applicable, and we rely on you to ensure your events comply with these Terms. However, we reserve the right to investigate and act on suspected violations if they are brought to our attention, such as through user reports or system alerts (e.g., unusual account activity). Examples of violations include adding events that promote illegal activities, spam the calendar with irrelevant or fraudulent entries, or misuse the feature in ways that disrupt the App’s functionality. While we do not monitor or pre-screen events as a routine practice, we may respond to specific concerns to maintain the App’s integrity and compliance with applicable laws.

Reporting Violations: If you believe any interaction or in-App content violates these Terms or causes a problem (e.g., spam, errors, or unintended duplicates), or if you have concerns about the calendar feature, you can report it through go@bright.blue.

Enforcement Actions: If we determine, at our sole discretion, that an interaction or in-App content violates these Terms or applicable laws, we may take action, including: (a) removing or disabling the offending event from your calendar; (b) issuing a warning to you about misuse; (c) limiting your ability to add events temporarily or permanently; or (d) suspending or terminating your account (per Section 4.3) if the violation is severe or repeated. For illegal activity, we may cooperate with law enforcement. We aim to address reported issues within 48 hours, though resolution time may vary based on complexity.

Appeals and Corrections: If any in-App content you added is removed or your account is restricted due to an enforcement action, you may request a review by emailing go@bright.blue within 14 days, including your account details and an explanation of why you believe the action was incorrect. We’ll assess your request fairly and restore events or privileges if we find an error occurred.
You are solely responsible for the content you add in the App, and we are not obligated to approve or monitor them proactively. However, we reserve the right to remove any User Content at our discretion to maintain the App’s integrity or comply with legal obligations. Violations of this section may also lead to civil or criminal liability, as noted in Section 6.2.
7. Intellectual Property
7.1 Ownership
All content, features, and functionality of the App, including text, graphics, logos, icons, images, software, and audiovisual elements, are the exclusive property of SecretLab, LLC and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The content and design of this App is protected by U.S. and international copyright laws. You may not copy, reproduce, republish, upload, post, display, transmit, or frame any of these materials without prior written consent.
7.2 Trademarks
Go.Bright.Blue and its associated logos and trademarks are owned by Bright.Blue UK Limited. You may not use these trademarks without our prior written permission.
7.3 Feedback
If you provide feedback, suggestions, or ideas (‘Feedback’) via the ‘Contact Support’ link (https://shop.bright.blue/pages/contact), Shopify collects that information (e.g., name, email, message content) under their Privacy Policy. We may receive this Feedback from Shopify, and by submitting it, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, incorporate, and commercialize it to improve or promote the App and our services, without compensation.
8. Disclaimers
8.1 As-Is Basis
The App is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Go.Bright.Blue disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
8.2 No Guarantee
We do not guarantee that:

The App will be uninterrupted, secure, or free from errors, bugs, or viruses.

The App will meet your expectations or requirements.
-
Information provided through the App is accurate, complete, or reliable.
You use the App at your own risk and are solely responsible for any damage to your device or data loss resulting from such use.
9. Limitations of Liability
THE USE OF THIS APP IS ENTIRELY AT YOUR OWN RISK, and in no event shall Go.Bright.Blue, its affiliates, and their respective officers, directors, employees, agents, and licensors be liable for any direct, indirect, incidental, special, exemplary, punitive, consequential, or any other monetary or other damages, fees, fines, penalties, or liabilities arising out of or relating to:

your use of or inability to use the App.

unauthorized access to or use of your data.

errors, omissions, or defects in the App.
-
products, services accessed through the App.
-
content or information provided through the App.
-
any other matter relating to the App.

Any advice or opinions given by third parties (e.g. personal trainers, gym staff, etc) are their own and do not reflect our views or endorsements. We’re not responsible for what they say or any results from it.
AS THE APP IS PROVIDED FREE OF CHARGE, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP (EXCLUDING E-COMMERCE TRANSACTIONS) SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100 USD), EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY MANDATORY LOCAL LAWS. For claims related to e-commerce transactions, including purchases processed by Shopify, liability is governed by Shopify’s Terms of Service (https://www.shopify.com/legal/terms) and the applicable Vendor’s policies. For health-related claims arising from the use of products or services offered through the App (e.g., sports drinks or supplements), see Section 10.2 (Disclaimer of Medical Liability), which excludes such liability from Go.Bright.Blue.
10. Disclaimers
10.1 Indemnification
You agree to release, indemnify, and hold harmless Go.Bright.Blue, its affiliates, and their respective officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the App.

Your violation of these Terms.

Your infringement of third-party rights.
-
Any User Content you submit.
This obligation survives the termination of your use of the App.
10.2 DISCLAIMER OF MEDICAL LIABILITY
The products and services offered through the App, along with any related content or information, are not intended to provide medical advice, diagnosis, or treatment, and should not be relied upon as a substitute for professional medical care. Go.Bright.Blue does not engage in the practice of medicine or offer professional healthcare advice, diagnosis, or treatment through the App or its offerings.
We make no representations or warranties that any product or service is safe, appropriate, or effective for your specific health needs or conditions. You should consult a physician or other qualified healthcare provider before using any products purchased through the App, especially if you have questions about your health, medical conditions, or the suitability of these products for you.
IF YOU HAVE OR SUSPECT A MEDICAL PROBLEM OR CONDITION, CONTACT A QUALIFIED HEALTHCARE PROFESSIONAL IMMEDIATELY. Go.Bright.Blue, its affiliates, and their respective officers, directors, employees, agents, and licensors shall not be liable for any health-related claims, injuries, or damages arising from your use of the products or services offered through the App.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the region where you reside, as follows:

For users in the United Kingdom: The laws of England and Wales apply.

For users in the European Union: The laws of Ireland apply, unless mandatory local laws in your country of residence (e.g., consumer protection laws) take precedence.

For users in the United States: The laws of Minnesota apply, subject to any non-waivable state or federal consumer rights (e.g., California Consumer Privacy Act). We aim to comply with the laws of the regions where the App is available. If a dispute arises, you may have the right to seek resolution in the courts of your local jurisdiction under applicable law, as explained in Section 11.2 below.
11.2 Dispute Resolution
We encourage resolving disputes informally first—please contact us at go@bright.blue. If that doesn’t work, disputes arising from these Terms or your use of the App will generally be handled through binding arbitration, unless local laws or your preferences allow otherwise:

For users in the United States: Disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, held in Minneapolis, Minnesota, unless applicable state or federal law guarantees you the right to pursue claims in your local courts instead (e.g., small claims court). The arbitrator’s decision is final and binding where arbitration applies.

For users in the United Kingdom: Disputes will be resolved through binding arbitration administered by the London Court of International Arbitration (LCIA) under its Rules, held in London, England. However, you may choose to bring claims in the courts of England and Wales if permitted by UK law, such as under consumer protection statutes.

For users in the European Union: Disputes will be resolved through binding arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC) under its Rules, held in Dublin, Ireland. However, you may opt to pursue claims in the courts of your country of residence if EU or national laws (e.g., Consumer Rights Directive) grant you that right.
Exceptions and Clarifications:

Go.Bright.Blue may seek injunctive or equitable relief (e.g., to protect intellectual property or confidential information) in any court with jurisdiction, regardless of the above.

Arbitration, where applicable, will be conducted on an individual basis, not as a class action, unless prohibited by the laws of your jurisdiction (e.g., EU collective redress rules).

Nothing in this section overrides your statutory rights, including your ability to seek remedies in local courts where mandatory consumer protection laws apply. For example, EU and UK users retain rights to local dispute resolution under applicable regulations, and US users retain state-specific protections. If you’re unsure about your rights, consult your local consumer authority.
We’ll notify you of any arbitration process via the email tied to your account, and costs will be handled per the chosen arbitration rules, subject to local law.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the App or through other reasonable means. Your continued use of the App after such changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the App.
13. Termination
We may terminate or suspend your access to the App at our sole discretion, with or without notice, for reasons including violation of these Terms. Upon termination:

Your license to use the App ends immediately.

You must uninstall the App and destroy any copies in your possession.

You remain liable for any orders placed or charges incurred prior to termination, including pending transactions processed by Shopify, which remain subject to Shopify’s Terms of Service and Vendor policies.
14. Miscellaneous

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Go.Bright.Blue regarding the App.

Severability: If any provision is invalid or unenforceable, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right or provision does not waive it.

Assignment: You may not assign these Terms without our consent; we may assign them without restriction.
